Terms of Service

1. Acceptance of Terms
By creating an account or using the HiBee platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
HiBee is a SaaS platform that provides:
- AI-powered automated customer messaging across Facebook, Instagram, WhatsApp, Telegram, and website live chat.
- A unified inbox for managing conversations from multiple channels.
- Product catalog synchronization for AI-assisted customer support.
- Team collaboration tools including agent management and role-based access.
- Analytics and reporting dashboards.
3. Account Registration
- You must provide accurate, complete, and current registration information.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must be at least 16 years old to create an account.
- One person or entity may not maintain more than one free account.
You must notify us immediately at support@hibee.bd if you suspect unauthorized use of your account.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Send spam, unsolicited messages, or bulk promotional content through connected platforms.
- Distribute malware, phishing content, or malicious links.
- Impersonate another person or entity.
- Harass, abuse, or threaten users or customers.
- Collect or store personal data of end-users beyond what is necessary for customer support.
- Violate the terms of service of connected platforms (Meta, Telegram, etc.).
- Use the Service to send unsolicited bulk messages, spam, or violate Meta's Messaging Policy or any other platform's anti-spam rules.
- Attempt to reverse-engineer, decompile, or access the source code of the Service.
- Interfere with or disrupt the integrity or performance of the Service.
We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.
5. Subscription & Billing
5.1 Plans
We offer Free, Starter, Business, and Enterprise subscription plans. Features and limits vary by plan and are described on our Pricing page.
5.2 Payment
- Paid plans are billed monthly or yearly in advance.
- All fees are quoted in BDT (Bangladeshi Taka) and are non-refundable except as required by law.
- You authorize us to charge your provided payment method on a recurring basis.
- Paid subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
5.3 Cancellation
- You may cancel your subscription at any time from your account settings.
- Cancellation takes effect at the end of the current billing period.
- After cancellation, your data will remain accessible for 30 days before deletion.
5.4 Price Changes
We may update pricing with 30 days' advance notice. Continued use after the effective date constitutes acceptance of the new pricing.
6. Third-Party Platform Terms
Your use of connected platforms (Facebook, Instagram, WhatsApp, Telegram) through HiBee is also governed by the respective terms of those platforms:
It is your responsibility to ensure your use of HiBee complies with these platform terms.
7. Intellectual Property
7.1 Our Rights
The Service, including its design, code, AI models, and documentation, is owned by HiBee and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.
7.2 Your Content
You retain ownership of all content you upload (product catalogs, images, reply templates). By uploading content, you grant us a non-exclusive license to use it solely for providing the Service.
8. AI-Generated Responses
- AI responses are generated based on your product catalog and configured settings.
- While we strive for accuracy, AI responses may occasionally be incorrect or incomplete.
- You are ultimately responsible for the content sent to your customers, including AI-generated messages.
- We recommend using "Suggest Mode" for sensitive industries to review AI responses before they are sent.
9. Service Level & Availability
- We target 99.9% uptime but do not guarantee uninterrupted availability.
- Scheduled maintenance will be communicated in advance when possible.
- We are not liable for downtime caused by third-party platforms, network issues, or force majeure events.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
- We are not responsible for lost revenue due to AI response errors, platform downtime, or message delivery failures.
11. Indemnification
You agree to indemnify and hold harmless HiBee, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from:
- Your use of the Service.
- Violation of these Terms.
- Content you upload or messages sent through the Service.
- Violation of any third-party rights.
12. Account Termination
- By You: You may delete your account at any time from your account settings.
- By Us: We may suspend or terminate your account for violation of these Terms, with or without notice.
- Upon termination, your right to use the Service ceases immediately.
- Data deletion follows the procedures outlined in our Privacy Policy and Data Deletion page.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from or relating to these Terms shall be resolved through good-faith negotiation first, and if unresolved, shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
14. Changes to These Terms
We may revise these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.
